Deciphr is software for recording and reporting. Outputs — journals, gains/losses, tax lots, valuations — are computational aids, not advice. You are responsible for engaging qualified professionals and for all filing and reporting decisions.
Service provided "as is"
The service is provided "as is" and "as available," without warranties of any kind — merchantability, fitness for a particular purpose, accuracy, or non-infringement — to the maximum extent permitted by law. We do not warrant that outputs are error-free or that the service will be uninterrupted.
Assumption of risk — digital assets
Blockchain transactions are irreversible; asset prices are volatile; smart contracts, bridges, and networks can fail or be exploited. You acknowledge these risks are inherent to digital assets and outside Deciphr's control.
Custody & authorizations
You control which actions Deciphr is authorized to take. Where Deciphr facilitates payments or the movement of funds, it does so only on your explicit authorization and instruction, through the wallets, accounts, and approvals you configure.
Your responsibilities & data accuracy
You are responsible for the accuracy and completeness of the data, wallets, and policies you configure, for reviewing outputs before relying on them, and for compliance with laws applicable to you.
Limitation of liability
To the maximum extent permitted by law, Deciphr and SP Global (Pty) Ltd are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or goodwill. Aggregate liability is capped at the total fees you paid to Deciphr in the one (1) month immediately before the event giving rise to the claim, and expressly excludes any onboarding, setup, or implementation fees.Nothing in this clause excludes liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
Indemnification
You agree to indemnify and hold harmless Deciphr, SP Global (Pty) Ltd, and its officers and staff from claims and costs arising out of your misuse of the service, your violation of these terms or of law, or your infringement of a third party's rights — subject to the carve-outs above and to your right to approve counsel where required by law.
Third-party services
Integrations (chains, data providers, banks, ERPs) are operated by third parties. Deciphr is not responsible for their availability, accuracy, or acts, and their own terms govern your use of them.
Governing law & dispute resolution
These terms apply to your use of Deciphr worldwide and are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict-of-laws rules. You agree that any dispute, claim, or proceeding arising out of or relating to these terms or the service will be brought exclusively before the competent courts of the Republic of South Africa, and you submit to their jurisdiction. Nothing in this clause removes any mandatory, non-waivable right you may have under the law of your own country of residence.
Severability & changes
If any provision is held unenforceable, the rest remain in effect and the provision is limited to the minimum extent necessary. We may update this notice; the "last updated" date reflects the current version.
