Acceptance of terms

By accessing Deciphr you confirm you are authorized to bind your organization and that you accept these Terms and our Privacy Policy. If you do not agree, do not use the service.

The service

Deciphr is an intelligent operating system for crypto organizations, providing treasury, accounting, operations, compliance, documents, and communication over a shared system of record, with an intelligence core at the center. Features may evolve over time.

Non-custodial

Deciphr is non-custodial by design. We never take custody of your assets or private keys. Payment workflows orchestrate approvals around your own multisig and wallet infrastructure; you remain solely responsible for key management and on-chain actions.

Accounts & access

You are responsible for the security of your account credentials and for all activity under your workspace. You must promptly notify us of any unauthorized access. We may suspend access where required to protect the platform or comply with law.

Acceptable use

You agree not to misuse the service. In particular you will not:

• Use Deciphr for unlawful activity, including sanctions evasion or money laundering.
• Attempt to breach, probe, or disrupt platform security or isolation boundaries.
• Reverse engineer, resell, or provide the service to third parties except as permitted.
• Upload content you have no right to process.

Compliance obligations

Your organization remains responsible for meeting its own legal, tax, and regulatory obligations. Verification and screening features are tools to support compliance; they do not constitute legal, tax, or regulatory advice.

Fees

Where the service is provided under a paid plan, fees, billing cycles, and renewal terms are set out in your order. Unless stated otherwise, fees are non-refundable and exclusive of taxes.

Intellectual property

SP Global and its licensors own all rights in the Deciphr platform, including software, design, and trademarks. You retain ownership of the data you load; you grant us a limited license to process it solely to provide the service.

Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, SP Global will not be liable for indirect, incidental, special, or consequential damages, or for any loss of assets, profits, or data. Our aggregate liability is limited to the amounts paid by you for the service in the twelve months preceding the claim.

Termination

Either party may terminate as set out in the applicable order. On termination, your access ends and we will make your data available for export for a limited period before deletion, subject to legal retention requirements.

Governing law

These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction, without prejudice to mandatory consumer protections in your jurisdiction.
